Smoozer Earnings Schedule

This Smoozer Earnings Schedule (this "Earnings Schedule") describes the business terms that apply to Smoozers and Referral Participants on the Platform, including the terms of the Referral Program. This Earnings Schedule is part of, and is incorporated into, the Terms of Service for Smoozers (the "Terms"). Capitalized terms used but not defined in this Earnings Schedule have the meanings given in the Terms. If there is a conflict between this Earnings Schedule and the Terms, the Terms control, except that this Earnings Schedule controls with respect to the specific percentages, rates, amounts, and timing set out below. The Company may update this Earnings Schedule as described in Section 21.2 of the Terms, which includes advance notice of certain changes and protects amounts you have already earned.

1. Smoozer Offerings and Rates

1.1 Supported Offering Formats

Subject to the Platform's available functionality, you may make the following types of Smoozer Offerings available to Users:

(a)Subscriptions. A recurring monthly subscription that gives the User an allotment of audio call time, video call time, and/or Messages with you, priced at your rates. Subscriptions renew automatically until cancelled by the User or the User deletes their account, as described in the User Terms of Service. Any unused allotment expires at the end of each billing period and does not roll over to the next billing period.
(b)Bundles. A one-time, prepaid purchase of a set amount of audio call time, video call time, and/or Messages with you, priced at your rates.
(c)Pay-As-You-Go Calls. A one-time audio or video call billed by the meter, based on Connected Talk Time at your per-minute rate, calculated on a per-second basis, subject to any minimum billable call duration under Section 1.5.

1.2 Setting Your Rates

You set your own rates for audio calls and video calls (per minute) and for Messages (per Message). You may change your rates at any time through the Portal. A rate change applies only to purchases made after the change takes effect. Usage already purchased by a User, including a Bundle and the current billing period of a Subscription, will be honored at the rate in effect when it was purchased.

1.3 Usage Limits

A User may not use more audio call time, video call time, or Messages than the User's Subscription allotment or Bundle balance includes. To continue interacting with you after reaching that limit, the User must upgrade to a higher Subscription or purchase a Bundle or a Pay-As-You-Go Call, where available. The Company reserves the right to end a call when the User's allotment or balance is exhausted.

1.4 On-Demand Interactions

All calls on the Platform take place on demand, when both you and the User are available. The Platform does not support scheduling calls in advance.

1.5 How Call Time Is Measured

Call time is measured as Connected Talk Time, in seconds. Subject to any minimum billable call duration disclosed to the User before purchase, only Connected Talk Time counts against a User's allotment or balance or is billed to a User. Time spent waiting to connect, calls where no connection is established, and time spent browsing the Platform are not counted or billed. Subject to the Platform's available functionality, you may set minimum billable call durations and maximum call durations. If a connected call lasts less than the disclosed minimum, that minimum counts against the User's allotment or balance or is billed to the User, as applicable.

2. Revenue Share

2.1 Your Share of Net Revenue

For each Smoozer Offering purchased by a User, the Company charges a platform fee equal to a percentage of the Net Revenue from that purchase (the "Platform Fee"), and you earn the remaining Net Revenue. The Platform Fee is currently twenty percent (20%) of Net Revenue, so you currently earn eighty percent (80%) of Net Revenue. The Company may reduce the Platform Fee subject to Section 21.2 of the Terms, which will increase your share of Net Revenue. The Platform Fee will not exceed twenty percent (20%) of Net Revenue.

"Net Revenue" means the amount actually paid by the User for the Smoozer Offering and received by the Company, excluding any sales, use, or similar taxes collected from the User, less Processing Fees.

"Processing Fees" means the payment-processing fees and similar third-party transaction charges actually incurred in connection with a User's payment, including commissions or fees charged by Apple or Google for purchases made through their app stores and chargeback and dispute fees allocated under Section 4.

2.2 Example

The following is a hypothetical illustration only, at the current Platform Fee of twenty percent (20%): A User pays $100.00 for one of your Smoozer Offerings, and the Processing Fees on that payment are $3.00. Net Revenue is $97.00. You earn $77.60 (80% of $97.00), and the Company charges a Platform Fee of $19.40 (20% of $97.00). Actual Processing Fees vary by payment method and transaction.

2.3 When Earnings Are Generated

Earnings are generated when the Company receives the User's payment for a Smoozer Offering. For Subscriptions and Bundles, you earn your share of the full amount paid, whether or not the User uses the full allotment or balance. For Pay-As-You-Go Calls, you earn your share of the amount charged for the Connected Talk Time, subject to any minimum billable call duration under Section 1.5.

3. Payouts

3.1 Payout Timing

Earnings become available for payout as follows:

(a)Subscriptions. Earnings from Subscription payments become available one (1) month after the User's payment is received and credited to your balance. Until then, those Earnings are shown in your balance but cannot be paid out.
(b)Bundles and Pay-As-You-Go Calls. Earnings from Bundles and Pay-As-You-Go Calls become available fifteen (15) business days after the User's payment is received and credited to your balance.

Available Earnings will be paid out in accordance with the Company's payout practices made available through the Portal, subject to the availability periods above and Section 21.2 of the Terms. A "business day" is any day other than a Saturday, Sunday, or U.S. federal holiday.

3.2 Minimum Payout

The Company may establish a minimum payout amount disclosed in the Portal and carry forward available Earnings and Referral Commissions until your available balance meets that amount. Any changes are subject to Section 21.2 of the Terms.

3.3 Payout Methods and Fees

You may receive payouts through any of the following Payout Providers, as described in Section 10.4 of the Terms: (a) Stripe, through Stripe Connect; (b) PayPal; or (c) Venmo. You may select or change your Payout Provider in the Portal. Each Payout Provider charges its own fees, including fees to transfer funds from your Stripe, PayPal, or Venmo account to your bank account. You are responsible for those fees. Payout Provider fees are separate from, and in addition to, the Processing Fees deducted before the revenue share is calculated under Section 2.1, and they are set by the Payout Provider, not by the Company. Please review your Payout Provider's current fee schedule before selecting it. Once a payout is initiated, the time it takes to reach your bank account depends on your Payout Provider and your bank. Payouts may also be delayed, withheld, or offset as described in Sections 10.5 and 10.6 of the Terms.

4. Refunds and Chargebacks

If a User's payment is refunded, charged back, or reversed, your Earnings from that payment are reduced as described in Section 10.5 of the Terms. Chargeback and dispute fees charged by the Company's payment processors are deducted as Processing Fees before the revenue share is applied. No fee or adjustment will be deducted more than once. If you block a User, the Company will refund the unused prepaid value of that User's Smoozer Offerings with you, as described in Section 10.5 of the Terms. Refund decisions are made by the Company in accordance with the User Terms of Service.

5. Referral Program

5.1 Overview and Participation

The Company may offer a Referral Program through which you may refer other individuals to join the Platform as Smoozers. Participation is optional, and you may participate in the Referral Program before you are approved as a Smoozer, including through a Prelaunch Account. The Company will determine, in its sole discretion, who is eligible to participate in the Referral Program. If the Company deems you eligible to participate, the Company will issue you a Referral Link, which you may share with referred individuals in order for them to sign up with the Company. Your Referral Link is personal to you and may not be sold, transferred, or assigned. Subject to your compliance with the Terms and this Earnings Schedule, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use your Referral Link and any promotional materials the Company provides, solely in connection with your participation in the Referral Program, and to promote the Platform in accordance with this Section 5.

5.2 Qualifying Referrals and Attribution

A Referred Smoozer is a "Qualifying Referral" only if: (a) the individual signs up through your Referral Link and is attributed to you in the Company's referral records; (b) the individual did not already have a Platform account and had not previously joined the waitlist or signed up through another Referral Link or otherwise; (c) the individual is not you and is not using an account that you own, control, or created; (d) the individual accepts the Terms, completes onboarding, and is approved as a Smoozer; and (e) the referral does not involve any Prohibited Referral Activity. If an individual interacts with more than one Referral Link, the first Referral Link through which the individual signs up, as recorded by the Company, controls. The Company's referral records are the basis for attributing referrals, absent manifest error, and referrals that are not recorded in the Company's referral records as made through your Referral Link will not be credited retroactively.

5.3 Commission Rate

For each Qualifying Referral, the Company will pay you a Referral Commission equal to fifty percent (50%) of the Platform Fee charged on the Net Revenue from that Referred Smoozer's Smoozer Offerings, generated from User payments received by the Company during the Commission Period. Because your Referral Commission is a share of the Platform Fee, it changes if the Platform Fee changes: if the Company reduces the Platform Fee, your Referral Commission is reduced proportionately, while your fifty percent (50%) share of the Platform Fee stays the same. A reduction in the Platform Fee applies only to Net Revenue generated after the reduction takes effect, as described in Section 21.2 of the Terms. Referral Commissions are paid by the Company out of its Platform Fee and do not reduce the Referred Smoozer's Earnings. The Referral Program is single-tier: you earn Referral Commissions only with respect to Smoozers you personally refer, and not with respect to any individuals referred by your Referred Smoozers. There is no limit on the number of Qualifying Referrals for which you may earn Referral Commissions.

Current Rate. The Platform Fee is currently twenty percent (20%) of Net Revenue, so your Referral Commission is currently ten percent (10%) of the Net Revenue from each Qualifying Referral's Smoozer Offerings (50% of the 20% Platform Fee). Because the Platform Fee will not exceed twenty percent (20%) of Net Revenue, your Referral Commission will not exceed ten percent (10%) of Net Revenue.

The following are hypothetical illustrations only. A User pays $100.00 for a Smoozer Offering from your Referred Smoozer, and the Processing Fees are $3.00, so Net Revenue is $97.00. At the current Platform Fee of twenty percent (20%), your Referred Smoozer earns $77.60 (80% of $97.00), the Platform Fee is $19.40, you earn a Referral Commission of $9.70 (50% of the Platform Fee, or 10% of $97.00), and the Company retains the remaining $9.70. If the Company reduced the Platform Fee to ten percent (10%), your Referred Smoozer would earn $87.30 (90% of $97.00), the Platform Fee would be $9.70, you would earn a Referral Commission of $4.85 (50% of the Platform Fee, or 5% of $97.00), and the Company would retain the remaining $4.85.

Referral Commissions are calculated only on amounts that the Company has actually received and retained, and exclude any amounts that are refunded, charged back, reversed, disputed, or attributable to fraudulent or prohibited activity. Joining the waitlist, creating a Prelaunch Account, receiving a Referral Link, or referring an individual does not by itself entitle you to any payment, and the Company does not guarantee that you will earn any Referral Commissions.

5.4 Commission Period

The "Commission Period" is the twelve (12) month period beginning on: (a) the Launch Date, for Qualifying Referrals who signed up through your Referral Link before the Launch Date ("Prelaunch Referrals"); or (b) the date the Referred Smoozer creates an account on the Platform through your Referral Link, for Qualifying Referrals who sign up on or after the Launch Date.

5.5 Payment of Referral Commissions

Referral Commissions become available for payout on the same schedule as Earnings under Section 3.1, based on the type of Smoozer Offering the underlying User payment was for. Referral Commissions are paid to your Payout Account through your selected Payout Provider (and are subject to that provider's fees under Section 3.3) and are subject to the minimum payout amount in Section 3.2, if any. If an underlying User payment is later refunded, charged back, or reversed, the related Referral Commission will be adjusted under Section 10.5 of the Terms, including by offset against your future Referral Commissions or Earnings. Sections 10.4, 10.5, and 10.6 of the Terms apply to Referral Commissions in the same manner as they apply to Earnings.

To receive Referral Commissions, you must: (a) have accepted the Terms; (b) maintain an account in good standing, except as provided in Section 5.11; (c) complete onboarding with a Payout Provider and provide the tax documentation required under Section 12 of the Terms; and (d) have been approved as a Smoozer under Section 4 of the Terms. You may participate before approval, but no Referral Commissions will be paid until you satisfy these requirements.

5.6 Your Referral Dashboard

Once a Referred Smoozer creates an account through your Referral Link, the Referred Smoozer will appear in your referral dashboard in the Portal. Your dashboard will show the Referred Smoozer's name or display name, whether each referral has qualified, and aggregate totals of your accrued, available, and paid Referral Commissions. The Company is not obligated to share any other information about your Referred Smoozers.

5.7 Promotion, Disclosure, and Prohibited Referral Activity

When sharing your Referral Link or otherwise promoting the Company, you must: (a) clearly and conspicuously disclose, in each communication, that you may earn a commission if someone signs up through your Referral Link (for example: "If you sign up through my link, I may earn a referral commission from the Company based on your future sales on the Platform."); (b) comply with all applicable laws, including the Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising and laws governing commercial email, text messages, and telemarketing; and (c) comply with the Policies and the rules of any third-party platform on which you share your Referral Link.

You may not engage in any of the following (each, "Prohibited Referral Activity"): (i) referring yourself, or creating or using duplicate, fake, or fraudulent accounts; (ii) sending spam or unsolicited bulk messages, or sending emails, text messages, or calls without any consent required by law; (iii) making false, misleading, or unsubstantiated statements about the Company, the Platform, or the amounts a Smoozer can earn, including any statement that earnings are guaranteed or typical, or any earnings example or calculation that is not clearly labeled as a hypothetical illustration; (iv) offering cash, gifts, or other incentives to induce sign-ups without the Company's prior written consent; (v) using the Company's name or trademarks in domain names, social media handles, or paid search advertising, or otherwise suggesting that you are the Company or are authorized to speak on its behalf; (vi) posting your Referral Link on coupon, deal, or incentive websites; (vii) using the Platform's calls or messaging features to solicit Users to join the Referral Program or become Smoozers; or (viii) any other activity that the Company reasonably determines is fraudulent, abusive, or intended to manipulate the Referral Program.

5.8 Disqualification and Clawback

The Company may, in its reasonable discretion, disqualify any referral, suspend or end your participation in the Referral Program, and withhold or cancel Referral Commissions attributable to Prohibited Referral Activity or any other breach of the Terms or this Earnings Schedule. If the Company pays you a Referral Commission that was calculated in error or is attributable to Prohibited Referral Activity or to refunded, charged back, or reversed amounts, the Company may, in its reasonable discretion, offset that amount against your future Earnings or Referral Commissions or require you to repay it. The Company will provide notice of any disqualification, withholding, or offset where reasonably practicable.

5.9 If You Were Referred

If you signed up through another participant's Referral Link, you agree that the Company may display your name or display name and whether your referral qualified in that participant's referral dashboard. Referral Commission amounts are displayed as aggregate totals rather than amounts attributable to individual Referred Smoozers. Referral Commissions are paid by the Company, and your Earnings will not be reduced as a result of your referral.

5.10 Prelaunch Referrals

Prelaunch Referrals are governed by the Terms and this Earnings Schedule. Their Commission Period begins on the Launch Date, as described in Section 5.4. Referral Commissions on Prelaunch Referrals are calculated under Section 5.3, including any reduction in the Platform Fee, subject to the qualification, payment, and other requirements of the Terms and this Earnings Schedule.

5.11 Changes to or Termination of the Referral Program

The Company may modify, suspend, or end the Referral Program, or your participation in it, at any time, including by updating this Earnings Schedule in accordance with Section 21.2 of the Terms. Except as required by law or in connection with Prohibited Referral Activity or a breach of the Terms or this Earnings Schedule, no such change will reduce Referral Commissions that have already accrued or shorten the Commission Period applicable to Qualifying Referrals made before the effective date of the change. The share of the Platform Fee paid as Referral Commissions will remain fifty percent (50%). A reduction in the Platform Fee is not a reduction of that share; it reduces Referral Commissions only on Net Revenue generated after the reduction takes effect, as described in Section 5.3.

If you close your account, or if the Company terminates your account for cause under Section 15.2 of the Terms, Referral Commissions will stop accruing as of the effective date of closure or termination, and you will not earn Referral Commissions for the remainder of any Commission Period. If the Company terminates your account without cause, or ends the Referral Program, you will continue to earn Referral Commissions on your existing Qualifying Referrals for the remainder of their Commission Periods, without requiring you to maintain an active Platform account, provided that you maintain a valid Payout Account and the tax documentation required under Section 12 of the Terms. Referral Commissions also stop accruing for any Referred Smoozer whose account is closed or terminated.

5.12 Relationship

Participation in the Referral Program does not make you an employee, agent, partner, or representative of the Company, and you have no authority to make any representation or commitment on behalf of the Company. Section 3 of the Terms applies to your participation in the Referral Program.
